1. Acceptance of Terms

Welcome to Satoshi Technologies ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website (satoshitechnologies.net), software products, downloadable applications, product showcases, UI/UX design systems, AI-ready datasets, SaaS platforms, and related technical consulting services (collectively, the "Services").

BY ACCESSING OUR WEBSITE, DOWNLOADING OR INTERACTING WITH OUR SOFTWARE PRODUCTS, ENGAGING OUR SERVICES, OR EXECUTING A STATEMENT OF WORK (SOW), YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS, DOWNLOAD, OR USE OUR SERVICES OR PRODUCTS.

2. Scope of Services & Software Licensing

Satoshi Technologies provides software products, custom software engineering, UI/UX design systems, AI dataset solutions, and technology consulting. Specific project scopes, deliverables, timelines, and fees will be detailed in separate Statements of Work (SOWs) or Service Contracts executed between the Company and the Client.

2.1 Software Product Downloads & License Terms

For any software products, demo builds, desktop applications, mobile packages, or executable tools downloaded or accessed through our website or product showcase ("Downloaded Software"), the Company grants you a revocable, non-exclusive, non-transferable, non-sublicensable limited license to download and execute the software solely for internal evaluation or authorized business usage.

You agree NOT to: (a) reverse engineer, decompile, disassemble, or attempt to derive source code from Downloaded Software; (b) rent, lease, sublicense, distribute, or create derivative works based on Downloaded Software; or (c) bypass or circumvent any security mechanisms or licensing controls embedded within the software.

2.2 Service Evaluation & Prototype Terms

Initial software demonstrations, wireframe previews, or project evaluation materials shared during discovery discussions are provided solely for client evaluation.

Intellectual Property & Asset Protection: All design concepts, software wireframes, UI layouts, and graphical assets prepared by Satoshi Technologies remain the exclusive intellectual property of Satoshi Technologies Private Limited until a formal commercial agreement or Statement of Work is executed and fully paid for. Copying, reproducing, or commercially exploiting delivered preview assets without prior written consent is strictly prohibited.

3. Intellectual Property Rights

3.1 Client Ownership

Upon receipt of full payment under an executed SOW, the Client receives full ownership rights to custom deliverables created specifically for the Client, excluding pre-existing Company IP.

3.2 Company Pre-Existing IP & Tools

Satoshi Technologies retains all right, title, and interest in and to its pre-existing intellectual property, custom software frameworks, boilerplate code, developer tooling, AI data curation algorithms, design systems, and reusable utility libraries ("Company Materials"). Company grants Client a non-exclusive, perpetual, royalty-free license to use Company Materials solely as embedded within the final deliverables.

3.3 Software Products & Core Architecture Anti-Copying Warning

Product Protection & Legal Enforcement Notice: All proprietary software products, SaaS applications, showcase tools, user interface designs, source code, database structures, AI models, and core system architectures featured on or accessible through our platform (including but not limited to Nexus Finance, Aura Enterprise, and English to Bengali AI Translate) are the sole and exclusive intellectual property of Satoshi Technologies Private Limited.

Copying, cloning, scraping, decompiling, reverse engineering, replicating UI/UX design layouts, or mimicking the core technical architecture or functionality of any Satoshi Technologies product without express written authorization is strictly prohibited. Any unauthorized copying or reproduction will be met with immediate legal consequences, statutory damages, and intellectual property infringement prosecution to the fullest extent of international law.

4. Artificial Intelligence & Third-Party Services Disclaimer

Certain products, software applications, and services provided by Satoshi Technologies (including AI translation tools, data processing software, and smart analytics platforms) rely on third-party Artificial Intelligence (AI) models, Large Language Models (LLMs), APIs, and third-party cloud service providers.

4.1 Non-Liability for AI Mistakes & Third-Party Losses

Third-Party Model & AI Content Non-Liability Warning: Satoshi Technologies does NOT own, control, or guarantee the accuracy, completeness, or reliability of third-party AI models, translation engines, or generative services.

Satoshi Technologies shall have ZERO LIABILITY for any errors, inaccuracies, mistranslations, hallucinations, algorithmic bias, omissions, data loss, service outages, or commercial losses resulting from AI-generated content or third-party service failures. Users and Clients assume 100% responsibility for auditing, verifying, and confirming all AI outputs before relying on them for business, financial, legal, or operational decisions.

• The Company does not warrant that AI model outputs, predictions, generated datasets, or automated translations will be error-free, uninterrupted, or completely accurate.
• Client and User are strictly responsible for auditing, verifying, and validating all AI outputs and generated assets before deploying or publishing them.
• The Company disclaims all liability for third-party API rate limits, provider downtime, model deprecation, or unexpected third-party service alterations.

5. Disclaimer of Warranties ("AS IS")

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SATOSHI TECHNOLOGIES EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, UNINTERRUPTED OPERATION, OR FREEDOM FROM VIRUSES OR MALICIOUS CODE.

6. Limitation of Liability

IN NO EVENT SHALL SATOSHI TECHNOLOGIES, ITS DIRECTORS, OFFICERS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, REPUTATIONAL HARM, OR COMPUTER FAILURE, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO SATOSHI TECHNOLOGIES IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED US DOLLARS ($100 USD), WHICHEVER IS LESS.

7. Indemnification

You agree to defend, indemnify, and hold harmless Satoshi Technologies and its subsidiaries, affiliates, officers, directors, employees, and contractors from and against any third-party claims, liabilities, damages, losses, costs, or legal fees arising from or related to: (a) your violation of these Terms; (b) your misuse of the Services; (c) any content, data, or specifications provided by you that infringe upon third-party intellectual property or privacy rights; or (d) your deployment of AI models or software delivered under our Services.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or Services shall be subject to the exclusive jurisdiction of the competent courts located in India.
